1. Acceptance of Terms & Eligibility
By creating an account, deploying a tenant organization workspace, or interacting with the AIXONICS API endpoints, you represent and warrant that you are at least 18 years of age and possess full legal authority to bind your contracting business entity to these Terms. If you do not agree to all provisions of this Agreement, you must immediately discontinue all use of the platform.
2. Tenant Workspace & Account Security
You are solely responsible for maintaining the confidentiality of your account credentials, managing the permissions of invited organization members (Owners, Admins, Managers, Approvers, Editors, Viewers), and all activities conducted under your tenant workspace. You agree to notify security@aixonics.com immediately upon detecting any unauthorized access or compromise of API keys.
3. Intellectual Property & Customer Content Ownership
Your Property: As between you and AIXONICS, you retain exclusive ownership of all uploaded Brand Brain documents, marketing guidelines, prompt inputs, and resulting content variants ('Customer Content'). AIXONICS claims no proprietary ownership over your generated outputs.
Platform License: You grant AIXONICS a limited, non-exclusive, worldwide license to host, store, chunk, embed, and route your Customer Content strictly as necessary to execute requested operations (such as generating AI completions or publishing to connected social channels).
Platform Intellectual Property: AIXONICS, its logos, software architecture, user interfaces, database schemas, and proprietary algorithms remain the exclusive intellectual property of AIXONICS and its licensors.
4. AI-Generated Output & Human Review Responsibilities
Generative AI models are probabilistic by nature and may occasionally produce incomplete, inaccurate, or unintended text ('hallucinations'). You acknowledge and agree that:
- Human Review Obligation: You are strictly responsible for reviewing and verifying the accuracy, legality, and factual correctness of all AI-generated copy before publishing or dispatching it to customers or the public.
- Deterministic Guardrails: While AIXONICS provides automated Brand Brain context injection and negative keyword filters, these do not substitute for human editorial judgment.
- Zero Direct Liability for Model Hallucinations: AIXONICS shall not be liable for reputational, regulatory, or commercial damages arising from published copy that was approved by your organization's operators.
5. Third-Party Integrations & Channel Terms
When you connect third-party platforms (LinkedIn, Meta Facebook/Instagram, X, Google Workspace, Microsoft 365), you agree to strictly comply with each provider's developer terms, API usage policies, and community standards. You must not use AIXONICS to execute bulk unauthorized direct messaging, scraping, or spamming. Violations of third-party policies may result in immediate suspension of the associated integration adapter.
6. Billing, Metering & Token Ledgers
AIXONICS tracks API consumption at canonical microcent ($10⁻⁸ USD) integer precision. If you use our metered gateway rather than Bring-Your-Own-Key (BYOK), token expenses are debited against your organization balance in real time. Monthly budget caps set by Admins are enforced with hard stops. Detailed refund terms are set forth in our Refund Policy.
7. Suspension & Termination
AIXONICS reserves the right to immediately suspend or terminate access to any tenant workspace found in breach of our Acceptable Use Policy, attempting to compromise platform multi-tenant isolation, or executing malicious automation loops. Upon termination, your right to access the platform ceases immediately.
8. Disclaimers of Warranties & Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE AIXONICS PLATFORM IS PROVIDED 'AS IS' AND 'AS AVAILABLE' WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. IN NO EVENT SHALL AIXONICS, ITS DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES, INCLUDING LOSS OF PROFITS, DATA LOSS, OR BUSINESS INTERRUPTION.
9. Governing Law & Dispute Resolution
This Agreement shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law principles. Any dispute arising out of or in connection with this Agreement shall be subject to the exclusive jurisdiction of the competent courts situated in New Delhi, India, or resolved through binding arbitration under the Arbitration and Conciliation Act, 1996.
